Heat heavy large skillet on medium-high heat. Add sugar and nuts; cook 3 to 5 min. or until sugar melts and evenly coats nuts, stirring constantly. Spread onto baking sheet sprayed with cooking spray; cool completely.
Place spinach on platter; top with watermelon and cheese. Coarsely chop nuts; sprinkle over salad.
Drizzle with dressing just before serving.
