Preheat oven to 375°F. Melt chocolate and butter in small saucepan on very low heat, stirring constantly. Cool slightly.
Beat eggs, sugar and vanilla in large bowl with electric mixer on high speed 10 min. Add chocolate mixture; beat on low speed until well blended. Gradually add flour, mixing until well blended after each addition. Stir in walnuts. Spread into greased 13x9-inch baking pan.
Bake 35 min. or until toothpick inserted in center comes out with fudgy crumbs. (Do not overbake.) Cool completely in pan. Cut into 32 pieces to serve.
