Bring all ingredients except nuts to boil in large saucepan sprayed with cooking spray on medium heat, stirring constantly. Simmer on medium-low heat 10 to 15 min. or until thickened, stirring constantly. (Thickened mixture should pull away from side of pan when tilted.)
Refrigerate 1 hour or until firm.
Place nuts in pie plate. Roll chocolate mixture into 40 (1-inch) balls. Add, in small batches, to nuts; roll until evenly coated on all sides.
